FTC Updates HSR Filing Fees and Revises Thresholds for 2026; Minimum Size for Reportable Transactions Increases to $133.9 Million

Key Points The Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR Act) requires parties that meet a certain transaction size and other tests to file premerger notification forms for mergers and other transactions with both the Federal Trade Commission (FTC) and Department of Justice Antitrust Division. For 2026, the jurisdictional thresholds in the HSR Act will increase by almost 6%, which means that the minimum size-of-transaction threshold for reporting proposed mergers and acquisitions will increase from $126.4 million to $133.9 million. For 2026, HSR filing fees for all transactions will increase. Filing fees will range from $35,000 to $2.46 million.
